Zilo cannot confirm the price of a Product until the order is confirmed. In the event that a Product is listed at an incorrect price or with incorrect information due to an error in pricing or Product information, Zilo shall have the right, at our sole discretion, to refuse or cancel any orders placed for that Product, unless the Product has already been dispatched. In the event that an item is mis-priced, Zilo may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the Product ordered by you has been dispatched, your offer will not be deemed accepted and Zilo will have the right to modify the price of the Product and contact you for further instructions using the email address provided by you during the time of registration or cancel the order and notify you of such cancellation. Force Majeure - In the event Zilo is prevented in whole or in material part from performing its obligations under this Terms and Conditions solely as a result of force majeure, upon the prompt giving of notice to you detailing such force majeure event and its anticipated duration, the obligations of Zilo so prevented shall be excused during such period of delay, and such party shall take whatever reasonable steps are necessary to relieve the effect of such cause as rapidly as possible.

20. GOVERNING LAW AND JURISDICTION

Any dispute or difference either in interpretation or otherwise, of any terms of this these Terms and Conditions between the parties hereto, the same shall be referred to an independent arbitrator who will be appointed by Zilo and its decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. Either Party shall be entitled to apply to the competent courts for interim or interlocutory relief in respect of such arbitration. The arbitration shall be held in Mumbai.

21. INDEMNITY

You agree to defend, indemnify and hold harmless Zilo, its employees, executives, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to Zilo or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under these Terms and Conditions or arising out of the your violation of any applicable laws, regulations including but not limited to intellectual property rights, payment of statutory dues and taxes, fraudulent transactions or other rights. This clause shall survive the expiry or termination of these Terms and Conditions.

22. TERMINATION

This Terms and Conditions is effective unless and until terminated by either you or Zilo. You may terminate this Terms and Conditions at any time, provided that you discontinue any further use of this Website. Zilo may terminate this Terms and Conditions at any time and may do so immediately without notice, and accordingly deny you access to the Website. Such termination will be without any liability to Zilo. Upon any termination of this Terms and Conditions by either you or Zilo, you must promptly destroy all materials downloaded or otherwise obtained from this Website, as well as all copies of such materials, whether made under the Terms and Conditions or otherwise. Any such termination of these Terms and Conditions shall not cancel your obligation to pay for the Product already ordered from the Website or affect any liability that may have arisen under the Terms and Conditions.

22.1 DELETION OF ACCOUNT

If you wish to delete your account, you must submit a request to us through udpates@zilo.one. Upon receiving a valid deletion request, we will process and delete your account within 24 (twenty-four) hours.

23. ENTIRE AGREEMENT

Except where additional terms and conditions are provided which are product specific, these Terms and Conditions supersede all previous representations, understandings, or agreements and shall prevail notwithstanding any variance with any other terms of any order submitted. By using the services of Zilo you agree to be bound by the Terms and Conditions.

24. SEVERABILITY

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the liability limitations set forth above, then the invalid or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Return & Refund Policy and Exchange Policy

RETURN

The return and exchange policy for every product is clearly mentioned on the product page. If you wish to return the Product, you shall raise a return request of the Product within Seven days of its delivery, failing which the Product will be deemed to have been accepted by you and such Product will not be subject to any return. Please note that return for a Product will be processed subject to satisfactory verification and inspection of the Product by ZILO basis the images of the Product shared by you in your return request. You shall be entitled to Product return if, subject to verification and inspection by Zilo, it is proved that the damage to the Product is due to reasons solely attributable to Zilo. The decision of Zilo on return of the Product will be final and binding. You may initiate return of the Products if:

Product is damaged;
both the Product and shipping package have been damaged;
Product is defective or is not in working condition;
the Product is of bad quality;
parts of the Product or accessory is missing;
you are dissatisfied with the quality of purchased Product due to size issue, fit issue, colour issue, manufacturing defects, shrinkage in fabric, colour bleeding.

2. In order to claim a return, kindly follow the following steps:

Step 1: Contact our Customer Support team via email to contactus@zilo.one
Step 2: Provide us with your order ID details and your request to return your order. Kindly email an image of the Product and the invoice for our reference.
Step 3: We will pick up the Products subject to the delivery charges for such return to be borne and paid by you. We will initiate the return and replacement process only if the Products are received by us in their original packaging with their seals, labels and barcodes intact.
Note: If it is a case of replacement, it is subject to the availability of stock. In cases when a replacement may not be available, Zilo will refund you the full amount subject to deduction of the delivery cost.

3. You may note that return shall not be accepted by Zilo in following scenarios:

Product is damaged due to misuse/overuse;
Returned without original packaging including, price tags, labels, original packing, and other accessories or if original packaging is damaged;
Serial Number is tampered;
Product is used or altered;
Free product provided by brand is missing.

2. EXCHANGE

You may initiate the request for exchange of the Product if the Product delivered is of different fit and/or size than the fit and/or size of Product that was ordered on the Platform or if the fit and/or size of the Product order does not fit the User and User wants to try a different (either larger or smaller) fit and/or size of the same Products. You shall initiate such requests for an exchange of exchangeable Product within such timelines mentioned in the Product detail page.
You shall keep the exchangeable Products in its unused, original and sellable condition, along with the original invoice/ sale receipt, brand outer box, MRP tags attached, user manual, warranty cards, and original accessories in manufacturer packaging for a successful exchange product pick-up and the exchangeable Product should satisfy the conditions mentioned under paragraph (f) below. We would accept the request for exchange of such Product subject to our verification and assessment in accordance with the terms of this Policy. You agree that our decision in relation hereof is final and binding on you.
You agree that we will not accept the exchange of any Product: (i) if you have placed the order for a wrong product model, colour or incorrect Product, (ii) if the Product belongs to Non-Returnable Product category (for instance, personalised Products that are not suitable for return based on their nature), (iii) if you fail to request exchange/register a complaint in relation to exchangeable Product within the stipulated time period. Any damage to the Product caused by your improper wearing or safekeeping of the Product, or any modification or change to the Product by you the User or a third party or any depreciation in the value for other reasons will not be deem such Product as exchangeable Product and will not be considered a quality problem. Any decision by us in this regard shall be final and binding on you.

4. On receipt of request for exchange of Product and the same being duly acknowledged by us, our logistics partners may get in touch with you in order to collect the purchased Products from you.

3. REFUND

In case of prepaid orders, money will be returned to the bank account/ credit/debit card where the payment was made from. For Cash on Delivery orders customers will be required to provide bank details/UPI ID where they would like to receive the refund. Such refund will be made to the you only in the event the payment has been received by us for the Products returned or cancelled.
Your refund will be processed only when the conditions as may be stipulated by us in this Policy are fulfilled, such as the Product being returned in original saleable condition without any defect or damage, along with the price tag intact including original packaging of the product, the brand outer packaging of the Product and all accessories therein and all the conditions mentioned in the above paragraphs are being satisfied. For the sake of abundant clarity, it is clarified that we shall not make any refund in respect of a Product that is deemed ineligible for a refund based on our verification and assessment. You agree that our decision in relation hereof is final and binding on you.
The amount will be refunded to you subject to us approving the refund subject to the terms of this Policy, depending upon the mode of payment chosen by you.
Your refund will be processed within 7 (seven) business days from the date of return approval. Sometimes banks or financial intermediaries take a longer time to process the refund request. However, if the refund does not happen by the date advised, you may reach out to us at contactus@zilo.one , and we will gladly help you.

ZILO SHIPPING AND CANCELLATION POLICY

TRANSPORT AND DELIVERY

Delivery of your order: ZILO is committed to deliver your order with good quality packaging within a given time frame. We ship throughout the week, except Sundays and public holidays. To ensure that your order reaches you in good condition, in the shortest span of time, we ship through reputed courier or delivery agencies only. The Products purchased are delivered via courier service to the delivery address that you indicate on the order. If there is no courier service available in your area, we will ship your items via government registered book post or speed post or any other mode of shipment available.
Dispatch and Transport: Subject to availability of the Products, the orders are dispatched within 1-2 working hours or as per the delivery date specified by you at the time of placing the order. There may be delay due to unforeseen circumstances and ZILO does not give any guarantee with respect to the timelines for the delivery of the Products. Delivery of all orders will be duly done to the address as mentioned by you at the time of placing the order. You must always sign for receipt of orders.
Loss or damage during transport: You are responsible for checking the Products on receipt. If you think, you have received the Product in a bad condition or if the packaging is tampered with or damaged before delivery, please refuse to accept the package and return the package to the delivery person. Once we verify the information regarding the Product, we will personally ensure that a replacement is issued to you at no additional cost. Please make sure that the original product tag and packing is intact when you send us the Product back.
Delivery address: You are responsible for providing a full and correct delivery address. You shall be solely responsible in case you provide incorrect delivery details and may incur extra costs. In the event of errors in the address details of the addressee, ZILO cannot under any circumstances be held liable for inability to deliver the Products ordered.
Delivery Fees: Delivery Fees shall be indicated in the product detail page and while the order is being placed. We can process only one shipping address per order, hence if you would like to ship products to multiple addresses then you are required to place separate orders. Our prices are all inclusive. All taxes are included with the list prices.

CANCELLATION OF ORDER BY ZILO

Please note that there may be certain orders that ZILO may not be able to accept and may thus cancel. ZILO reserves the right, at its sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being canceled include limitations on quantities available for purchase, inaccuracies or errors in Product or pricing information, or problems identified by ZILO. ZILO may also require additional verifications or information before accepting any order. ZILO will contact you if all or any portion of your order is canceled or if additional information is required to accept your order. If your order is cancelled after you have remitted the funds, a full refund will be initiated for prepaid orders.
